IN LOYALTY PROGRAM OF THE “PROMOPULT” SERVICE AND “SEOPULT” SYSTEM

Настоящая Программа Лояльности (далее по тексту – «Программа Лояльности» или «Программа») регулирует условия и порядок участия в программе лояльности Сервиса «PromoPult» и Системы «SeoPult», условия начисления и использования бонусных баллов, условия участия в маркетинговых акциях, скидочных программах и прочих мероприятиях связанных с использованием Сервиса «PromoPult» и Системы «SeoPult», а также условия участия в мероприятиях Авторизированных Поставщиков и Партнеров.

Организатором Программы Лояльности является правообладатель исключительных прав Сервиса «PromoPult» и Системы «SeoPult» - компания ОНЕР ИНВЕСТМЕНТС ЛИМИТЕД (ONER INVESTMENTS LIMITED), созданная и существующая по законодательству Республики Кипр под регистрационным номером: HE 275568 (далее по тексту - «Организатор»).

Настоящая Программа предназначена и доступна исключительно для пользователей Сервиса «PromoPult» и Системы «SeoPult».

Нажимая на кнопку «Стать Участником» в интерфейсе Сервиса «PromoPult» и Системы «SeoPult» вы безоговорочно принимаете все положения настоящей Программы Лояльности и становитесь ее Участником на следующих условиях:

This Loyalty Program (hereinafter referred to as the “Loyalty Program” or “Program”) governs the conditions and procedure for participation in the loyalty program of the “PromoPult” Service and the “SeoPult” System, the conditions for accruing and using Bonus Points, the conditions for participation in marketing campaigns, discount programs and other events related to the use of the “PromoPult” Service and the “SeoPult” System, as well as the conditions for participation in events of Authorized Suppliers and Partners.

The Organizer of the Loyalty Program is the exclusive owner of the “PromoPult” Service and the “SeoPult” System - ONER INVESTMENTS LIMITED company, created and existing under the laws of the Republic of Cyprus under registration number: HE 275568 (hereinafter referred to as the "Organizer").

This Program is intended and available exclusively for users of the “PromoPult” Service and the “SeoPult” System.

By clicking the “Become a Member” («Стать Участником») button in the interface of the “PromoPult” Service and the “SeoPult” System, you unconditionally accept all the provisions of this Loyalty Program and become its Member on the following conditions:

Программа Лояльности (Программа) - программа лояльности для пользователей Сервиса «PromoPult» и Системы «SeoPult», заключающаяся в предоставлении бонусных баллов, скидок, особых условий использования функционала и инструментов Сервиса «PromoPult» и Системы «SeoPult», а также возможность принять участие в мероприятиях организованных Партнерами и Авторизированными Поставщиками.

Бонусные Баллы (Баллы) - единица измерения, выраженная в числовом значении, получаемая за совершение определенных действий, необходимая для приобретения скидок и особых условий использования функционала и инструментов Сервиса «PromoPult» и Системы «SeoPult», а также для участия в мероприятиях организованных Партнерами и Авторизированными Поставщиками.

Авторизированные Поставщики - юридические лица и/или индивидуальные предприниматели являющиеся поставщиками услуг, работ и/или лицензий, доступных для заказа в рамках использования Сервиса «PromoPult» и Системы «SeoPult». Перечень Авторизованных Поставщиков, а также условия (тексты) договоров доступны для ознакомления на Сайте Системы.

Партнеры - юридические лица и/или индивидуальные предприниматели, выступающие в качестве поставщиков различных услуг, получение которых не связано с использованием Сервиса «PromoPult» и Системы «SeoPult».

Сервис «PromoPult» - пользовательский веб-интерфейс Системы «SeoPult», позволяющий использовать другие модули, интегрированные в Систему «SeoPult». Модуль Сервис «PromoPult» является компонентом Системы «SeoPult» и доступен по адресу: http://promopult.ru

Система «SeoPult» - (далее по тексту также – «Система») — аппаратно-программный комплекс, представляющий собой совокупность объединенных единым интерфейсом компьютерных программ и программно-аппаратных комплексов (далее - «Модули»), позволяющих автоматизировать определенные этапы работы по поисковой оптимизации и продвижению сайтов в выдаче поисковых систем. Каждый из Модулей системы представляет собой интегрированное в общую технологическую площадку, но самостоятельно используемое и самостоятельно обслуживаемое программное обеспечение.

Сайт Системы - сайт в сети Интернет, на котором расположены и доступны для использования пользовательские веб-интерфейсы Системы «SeoPult»: http://seopult.ru и http://promopult.ru

Пользователь - физическое лицо, юридическое лицо (или индивидуальный предприниматель), зарегистрировавшее Личный Кабинет в Сервисе «PromoPult» и Системе «SeoPult».

Участник - Пользователь, принявший условия настоящей Программы Лояльности.

Аккаунт Пользователя (Аккаунт или Личный Кабинет) - персонализированный раздел Системы, закрытый для публичного доступа. Создание Аккаунта происходит после успешного прохождения регистрации на Сайте Системы. Пользователь получает доступ к Аккаунту после ввода аутентификационных данных: логина (имени пользователя) и пароля (кода доступа).

Бонусный Счет - отдельный счет Участника в Биллинговой Системе, на который начисляются Бонусные Баллы. Состояние Бонусного Счёта отображается в Личном Кабинете Участника.

Бонусные Скидки - скидки на использование определенных платных инструментов и функциональности Системы (оплату лицензий), скидки на оплату услуг и/или работ Авторизированных поставщиков, а также особые условия получения услуг от Партнеров. Бонусные Скидки могут быть предоставлены в форме уменьшения стоимости, права участия в мероприятиях для ограниченного круга лиц, в иной форме, установленной в настоящей Программе Лояльности и/или на Сайте Системы.

Биллинговая система - часть Системы «SeoPult», представляющая собой автоматизированную систему учета всех операций в Аккаунте Пользователя (в том числе связанных с заказом и получением услуг, работ и/или лицензий от Авторизированных Поставщиков, доступных для заказа в рамках использования Сервиса «PromoPult» и Системы «SeoPult»), а также для учета получения Бонусных баллов за определенные действия в Системе и их использованием.

Сертификат - подтверждение успешного прохождения тестирования на знание функционала Сервиса «PromoPult» и Системы «SeoPult», а также всех инструментов, Модулей и областей их применения. Получение такого Сертификата позволяет получить расширенный доступ к возможностям Программы Лояльности.

TERMS AND DEFINITIONS

Loyalty Program (Program) - a loyalty program for users of the PromoPult Service and the SeoPult System, which consists in providing bonus points, discounts, special conditions for using the functionality and tools of the «PromoPult» Service and the SeoPult System, as well as the opportunity to participate in events organized by Partners and Authorized Suppliers.

Bonus Points (Points) - a unit of measure, expressed in numerical value, obtained for performing certain actions, necessary to purchase discounts and special conditions for using the functionality and tools of the “PromoPult” Service and the “SeoPult” System, as well as to participate in events organized by Partners and Authorized Suppliers.

Authorized Suppliers - legal entities and/or individual entrepreneurs being providers of services, works and/or licenses available for ordering within the framework of using the PromoPult Service and the SeoPult System. The list of Authorized Suppliers, as well as the terms (texts) of contracts are available for review on the System Website.

Partners - legal entities and/or individual entrepreneurs acting as suppliers of various services, the receiving of which is not connected with the use of the “PromoPult” Service and the “SeoPult” System.

“PromoPult” Service is the user web interface of “SeoPult” System, which allows using other modules integrated into the “SeoPult” System. The PromoPult Service module is a component of the SeoPult System and is available at: http://promopult.ru

The “SeoPult” System - (hereinafter also referred to as the “System”) - a hardware and software complex, representing a combination of computer programs and hardware and software complexes united by a single interface (hereinafter - “Modules”), allowing to automate certain stages of search optimization work and website promotion in search engine results. Each of the System Modules is an integrated into the common technological platform, but independently used and independently maintained software.

System Site - a website on the Internet where the user web interfaces of the “SeoPult” System are located and available for use: http://seopult.ru and http://promopult.ru

User - an individual, a legal entity (or an individual entrepreneur) who has registered a Personal Account in the “PromoPult” Service and the “SeoPult” System.

Member - User who has accepted the terms of this Loyalty Program.

User Account (Account or Personal Account) - a personalized System section, closed for public access. Creation of the Account occurs after successful registration on the System Website. The user gets access to the Account after entering the authentication data: login (username) and password (access code).

Bonus Account - a separate account of the Member in the Billing System, on which Bonus Points are awarded. The status of the Bonus Account is displayed in the Member's Personal Account.

Bonus Discounts - discounts on the use of certain paid tools and the functionality of the System (payment of licenses), discounts on payment for services and/or work of Authorized suppliers, as well as special conditions for receiving services from Partners. Bonus Discounts can be provided in the form of cost reduction, the right to participate in events for a limited number of persons, in a different form established in this Loyalty Program and/or on the System Website.

The Billing system is part of the “SeoPult” System, which is an automated system for recording all operations in the User Account (including those related to ordering and receiving services, works and/or licenses from Authorized Suppliers available for ordering as part of using the “PromoPult” Service and System “SeoPult”), as well as to account for receiving Bonus Points for certain actions in the System and their use.

1. 1.Условия Начисления и Использования Бонусных Баллов

1. 1. 1.1.Условия получения Бонусных Баллов, перечень их использования и прочую необходимую информацию по их использованию можно получить на Сайте Системы (https://promopult.ru/loyalty.html).

1. 1. 1.2.Начисление Бонусных Баллов происходит автоматически на основании данных Биллинговой системы за совершение определенных действий, указанных на Сайте Системы и в интерфейсе Сервиса «PromoPult» и Системы «SeoPult».

1. 1. 1.3.Участник может потратить на получение Бонусных Скидок только то количество Бонусных Баллов, которые начислены на Бонусный Счет. Бонусные Баллы не могут быть начислены авансом или переданы между Аккаунтами и/или другим Участниками.

1. 1. 1.4.Размер скидки на любую из доступных платных услуг, работ и/или лицензий, предоставляемых Авторизованными Поставщиками, не может покрывать полную стоимость таких услуг, работ и/или лицензий, и они в любом случае должны быть оплачены Участником сверх размера скидки.

1. 1. 1.5.Участники могут пройти процедуру сертификации и получить Сертификат для расширенного доступа к возможностям Программы Лояльности. Для успешного прохождения тестирования и получения Сертификата, Участники получают доступ к видеокурсам и справочным материалам. Информация о получении доступа к таким материалам доступна на Сайте Системы и в интерфейсе Сервиса «PromoPult» и Системы «SeoPult».

1. 1. 1.6.Период действия Бонусных Баллов ограничен для использования сроком в 12 (Двенадцать) месяцев с момента начисления таких Бонусных Баллов. Если Бонусные Баллы, начисленные Участнику, не будут использованы в течение указанного периода, такие Бонусные Баллы автоматически аннулируются и не подлежат повторному начислению.

1. 1. 1.7.Бонусные Баллы не являются внутренней валютой, не могут быть приравнены к денежным средствам, конвертированы в любую валюту, а также выведены из Сервиса «PromoPult» и Системы «SeoPult».

1. 1.TERMS AND CONDITIONS OF CALCULATION AND USE OF BONUS POINTS

1. 1. 1.1.The conditions for obtaining Bonus Points, a list of their use and other necessary information on their use can be obtained on the System Website (https://promopult.ru/loyalty.html).

1. 1. 1.2.Bonus Points are calculated automatically based on the data of the Billing System for performing certain actions indicated on the System Website and in the interface of the “PromoPult” Service and the “SeoPult” System.

1. 1. 1.3.A Member may spend on receiving Bonus Discounts only the number of Bonus Points that are credited to the Bonus Account. Bonus Points cannot be awarded in advance or transferred between Accounts and/or other Members.

1. 1. 1.4.The discount amount for any of the available paid services, works and/or licenses provided by Authorized Providers cannot cover the full cost of such services, works and/or licenses, and in any case they must be paid by the Participant in excess of the discount amount.

1. 1. 1.5.Participants can go through the certification process and receive a Certificate for enhanced access to the capabilities of the Loyalty Program. To successfully pass the test and obtain a Certificate, Participants gain access to video courses and reference materials. Information on gaining access to such materials is available on the System Website and in the interface of the “PromoPult” Service and the “SeoPult” System.

1. 1. 1.6.The validity period of Bonus Points is limited for use for a period of 12 (Twelve) months from the date of accrual of such Bonus Points. If the Bonus Points accrued to the Participant are not redeemed during the indicated period, such Bonus Points are automatically canceled and are not subject to re-accrual.

1. 1. 1.7.Reward Points are not domestic currency, cannot be equated with cash, converted into any currency, and also withdrawn from the “PromoPult” Service and the “SeoPult” System.

1. 2.Условия Проведения Акций и Мероприятий, Получение Скидок

1. 2.1.Условия получения Бонусных Скидок (скидок на приобретение услуг, работ и/или лицензий от Авторизованных Поставщиков, условия участия в акциях и мероприятиях), доступны для ознакомления на Сайте Системы (https://promopult.ru/loyalty.html) и в интерфейсах Сервиса «PromoPult» и Системы «SeoPult».

1. 2.2.Проведение некоторых акций или мероприятий может носить временный характер и регулироваться особыми условиями участия. Такие условия могут быть размещены на отдельной странице Сайта Системы и/или в определенном разделе Сервиса «PromoPult» и Системы «SeoPult».

1. 2.3.Некоторые Бонусные Скидки (скидки на приобретение услуг, работ и/или лицензий от Авторизованных Поставщиков, условия участия в акциях и мероприятиях) становятся доступны Участникам только после получения определенных Сертификатов.

1. 2.4.Любые описания и условия акций, скидок и бонусов от Партнеров, доступные для получения в рамках настоящей Программы Лояльности, являются примерным описанием условий, полученных Организатором от таких Партнеров и могут отличаться от фактических условий, выдвинутых каждым из таких Партнеров.

1. 2.5.Партнеры самостоятельно устанавливают требования и условия для участия в акциях и/или оказание услуг, получение которых не связанных с использованием Сервиса «PromoPult» и Системы «SeoPult».

1. 2.6.Организатор не дает каких-либо гарантий и не несет какую-либо ответственность за действия (бездействие) третьих лиц (включая, но не ограничиваясь: Партнерами и Авторизированными Поставщиками).

1. 2.CONDITIONS FOR HOLDING SHARES AND EVENTS, RECEIVING DISCOUNTS

2.1. The conditions for receiving Bonus Discounts (discounts on the purchase of services, works and/or licenses from Authorized Suppliers, conditions for participation in promotions and events) are available for review on the System Website (https://promopult.ru/loyalty.html) and in the Service interfaces “PromoPult” and “SeoPult” Systems.

2.2. Some promotions or events may be temporary and subject to special conditions of participation. Such conditions may be posted on a separate page of the System Site and/or in a specific section of the “PromoPult” Service and the “SeoPult” System.

2.3. Some Bonus Discounts (discounts on the purchase of services, works and/or licenses from Authorized Suppliers, conditions for participation in promotions and events) become available to Participants only after receiving certain Certificates.

2.4. Any descriptions and conditions of promotions, discounts and bonuses from Partners available for receiving under this Loyalty Program are an approximate description of the conditions received by the Organizer from such Partners and may differ from the actual conditions put forward by each of such Partners.

2.5. Partners independently establish the requirements and conditions for participation in promotions and/or the provision of services, the receipt of which is not related to the use of the “PromoPult” Service and the “SeoPult” System.

2.6. The Organizer does not give any guarantees and does not bear any responsibility for the actions (inaction) of third parties (including, but not limited to: Partners and Authorized Suppliers).

1. 3.Запреты и Ограничения

1. 3.1.Участнику запрещается использовать какие-либо вредоносные программы для ЭВМ, программное обеспечение и/или программный код для начисления Бонусных Баллов, а также осуществлять любые другие действия, которые могут потенциально привести к неправомерному начислению Бонусных Баллов. Любая попытка Участника такого нарушения или любое иное вмешательство в ход нормальной работы Сервиса «PromoPult» и Системы «SeoPult» будет рассматриваться Организатором как нарушение Участником условий настоящей Программы Лояльности. За совершение такие действия Организатор вправе исключить Участника из Программы Лояльности и имеет достаточные основания для обращения в суд и/или органы исполнительной власти (особенно, если Бонусные Скидки были получены на Бонусные Баллы, начисленные при нарушении условий настоящего пункта).

1. 3.2.Бонусные Баллы, потраченные на приобретение Бонусных Скидок, не подлежат возврату в случае дальнейшего отказа Участника от получения услуг, работ и/или лицензий от Авторизированных Поставщиков (в том числе в случае расторжения договоров с такими Авторизированными Поставщиками).

1. 3.3.Некоторые Бонусные Скидки не смогут быть предоставлены Участнику в том случае, если Авторизированный Поставщик и/или Партнер, предоставлявший соответствующие Бонусные Скидки, отказывается от предоставления соответствующих услуг, работ и/или лицензий, а также отменяет проведение акций и/или мероприятий.

1. 3.PROHIBITIONS AND LIMITATIONS

3.1. The participant is prohibited from using any malicious computer programs, software and/or program code to accrue Bonus Points, as well as to carry out any other actions that could potentially lead to unlawful accrual of Bonus Points. Any attempt by the Participant of such a violation or any other interference with the normal operation of the PromoPult Service and the SeoPult System will be considered by the Organizer as a violation by the Participant of the terms of this Loyalty Program. For such actions, the Organizer has the right to exclude the Participant from the Loyalty Program and has sufficient grounds for appeal to the court and/or executive authorities (especially if Bonus Discounts were received on Bonus Points accrued in violation of the terms of this paragraph).

3.2. Bonus Points spent on the acquisition of Bonus Discounts are not refundable in the event of a Member's further refusal to receive services, works and/or licenses from Authorized Suppliers (including in case of termination of contracts with such Authorized Suppliers).

3.3. Some Bonus Discounts cannot be provided to the Member if the Authorized Supplier and/or the Partner who provided the relevant Bonus Discounts refuses to provide the corresponding services, works and/or licenses, and also cancels the holding of promotions and/or events.

1. 4.Срок Действия, Порядок Изменения и Отмены

1. 4.1.Настоящая Программа Лояльности действительна для Участника с момент принятия ее условий и действует до наступления одного из перечисленных ниже событий:

• Организатор прекратит действие настоящей Программы Лояльности по любой причине, в том числе, по причине прекращения участия Авторизированных Поставщиков и/или Партнеров;

• Участник выходит из участия в Программе Лояльности по собственному желанию;

• Участник будет исключен Организатором из Программы Лояльности в случаях, предусмотренных настоящей Программой Лояльности.

1. 4.2.Участник вправе выйти из Программы Лояльности в любой момент времени с помощью соответствующего функционала Личного Кабинета. При этом все Бонусные Баллы, накопленные, но не потраченные Участником до момента выхода из Программы Лояльности, аннулируются в момент выхода Участника из Программы Лояльности и не подлежат повторному начислению и/или переводу на другой Аккаунт.

1. 4.3.Организатор вправе вносить в одностороннем порядке (без согласования с Участником) любые изменения в настоящую Программу Лояльности, в любой момент времени и по единоличному усмотрению Организатора.

1. 4.4.Организатор вправе отменить настоящую Программу Лояльности в любой момент времени, в одностороннем порядке, по единоличному усмотрению. Отмена настоящей Программы Лояльности по инициативе Организатора не влечет какой-либо компенсации Бонусных Баллов Участнику.

1. 4.5.Организатор вправе, но не обязан, уведомить Участника о внесении изменений и/или об отмене настоящей Программы Лояльности посредством отправления уведомлений в Сервисе «PromoPult» и Системе «SeoPult» и/или посредством отправления электронного письма по адресу указанному в Личном Кабинете Участника.

1. 4.VALIDITY, PROCEDURE FOR CHANGE AND CANCELLATION

1. 1. 4.1.This Loyalty Program is valid for the Member from the moment of acceptance of its conditions and is valid until one of the following events occurs:

• The Organizer will terminate this Loyalty Program for any reason, including because of the termination of the participation of Authorized Suppliers and/or Partners;

• The Participant withdraws from participation in the Loyalty Program at will;

• The Participant will be expelled by the Organizer from the Loyalty Program in cases provided for by this Loyalty Program.

1. 1. 4.2.The participant has the right to exit the Loyalty Program at any time using the corresponding functionality of the Personal Account. Moreover, all Bonus Points accumulated, but not spent by the Member until the moment of exit from the Loyalty Program, are canceled at the time of the Member's exit from the Loyalty Program and are not subject to re-accrual and/or transfer to another Account.

1. 1. 4.3.The Organizer has the right to make unilaterally (without consent of the Participant) any changes to this Loyalty Program, at any time and at the sole discretion of the Organizer.

1. 1. 4.4.The Organizer has the right to cancel this Loyalty Program at any time, unilaterally, at the sole discretion. Cancellation of this Loyalty Program at the initiative of the Organizer does not entail any compensation of the Bonus Points to the Participant.

1. 1. 4.5.The Organizer has the right, but is not obligated, to notify the Participant of changes and/or the cancellation of this Loyalty Program by sending notifications in the “PromoPult” Service and the “SeoPult” System and/or by sending an email to the address specified in the Member’s Personal Account.
